These Terms of Service ("Terms") govern your access to and use of the Conduit platform ("Service") operated by Conduit ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
Conduit is a data integration platform that enables you to sync data from configured data sources (such as Metabase) to configured destinations (such as HubSpot). The Service automates the extraction, transformation, and loading of data between these platforms based on your configuration.
2. Account Registration
To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to transmit malicious code, spam, or other harmful content
- Exceed reasonable usage limits or abuse API integrations in a way that degrades the Service for other users
4. Third-Party Integrations
The Service connects to third-party platforms such as Metabase and HubSpot using API credentials you provide. You are solely responsible for ensuring you have the necessary permissions and rights to access and sync data through these platforms. We are not responsible for any changes, outages, or issues with third-party services.
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You retain all rights to the data you sync through the Service. We do not claim ownership of your data and will not access it except as necessary to provide the Service.
6. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications to the Service at any time. We will make reasonable efforts to notify you of planned downtime.
7. Limitation of Liability
To the maximum extent permitted by law, Conduit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Indemnification
You agree to indemnify, defend, and hold harmless Conduit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.
10. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us.
11. Changes to These Terms
We may revise these Terms at any time by posting the updated version on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will update the "Last updated" date when changes are made.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
